Terms of Service

For purposes of these Terms:

• “ShadchanAI,” “we,” “us,” or “our” means Shadchan AI LLC, the operator of ShadchanAI.com.
• “Services” means the ShadchanAI website, software, guided intake tools, structured compatibility intelligence tools, SAI Number features, compatibility report generation, account features, paid digital products, credits, and related services.
• “User,” “you,” or “your” means any person who accesses or uses the Services.
• “Profile Information” means information you provide through guided intake forms, questionnaires, prompts, uploads, profile fields, documents, resumes, or other user-submitted responses.
• “Completed Profile” means a profile record that has sufficient information to support SAI Number issuance or compatibility review, as determined by ShadchanAI.
• “Compatibility Report” means a private, software-generated decision-support report that organizes and summarizes compatibility-related information based on submitted Profile Information and comparison of completed profiles.
• “SAI Number” means a unique identifier associated with a completed ShadchanAI profile.

ShadchanAI provides software-based structured compatibility intelligence and decision-support tools designed to help users organize and evaluate marriage-focused compatibility information.

The Services are intended to help users, families, advisors, shadchanim, rabbinic advisors, and other appropriate participants review relevant information in a more structured way. The Services may help identify areas of alignment, areas that deserve discussion, possible concerns, shidduch block status, confidence level, and topics that may require human review.

ShadchanAI is not a public matching database, public profile directory, searchable member database, introduction platform, matchmaking service, or communication service between individuals.

The Services provide informational, educational, and decision-support guidance only.

ShadchanAI does not provide:

• rabbinic rulings or psak;
• legal advice;
• medical advice;
• mental health diagnosis;
• psychological evaluation;
• therapy or counseling;
• financial advice;
• safety verification;
• background checks;
• guarantees about shidduch, relationship, engagement, or marriage outcomes.

Any halachic question must be brought to a competent rav or qualified halachic authority. Any clinical, mental health, emotional, trauma-related, abuse-related, safety-related, or medical concern must be brought to a qualified professional. Any legal or financial concern must be brought to the appropriate licensed professional.

You are solely responsible for your decisions, actions, communications, disclosures, meetings, relationships, and reliance on any information generated through the Services.

You must be at least 18 years old to use the Services.

By using the Services, you represent and warrant that:

• you are at least 18 years old;
• you have the legal capacity to agree to these Terms;
• your use of the Services is lawful in the jurisdiction where you are located;
• you will provide accurate information to the best of your knowledge;
• you will not use the Services for any unlawful, abusive, deceptive, exploitative, harassing, or harmful purpose.

We may refuse, suspend, or terminate access to the Services if we believe a user is under 18, has provided false information, has violated these Terms, or has used the Services in a way that creates legal, safety, privacy, reputational, operational, or payment-processing risk.

Some features may require an account, login credentials, SAI Number, payment, credit balance, or other access method.

You are responsible for:

• maintaining the confidentiality of your login credentials;
• all activity under your account;
• ensuring your account information is current and accurate;
• promptly notifying us of unauthorized access or suspected misuse.

We are not responsible for losses caused by your failure to safeguard your account credentials.

We may suspend or terminate an account if we believe the account has been compromised, misused, associated with false information, or used in violation of these Terms.

You are responsible for the information you submit to ShadchanAI.

You agree that you will not knowingly submit information that is false, misleading, defamatory, invasive of another person’s privacy, unlawful, harmful, or submitted without proper authorization.

You also agree not to submit sensitive information about another person unless you have the legal right and appropriate consent to do so.

The quality of any Compatibility Report depends on the honesty, accuracy, completeness, and context of the Profile Information provided. If submitted information is incomplete, inaccurate, exaggerated, image-managed, outdated, or misleading, the report may be incomplete or unreliable.

You may not use ShadchanAI to secretly evaluate, profile, investigate, expose, shame, harass, manipulate, pressure, or discriminate against another person.

ShadchanAI may issue or recognize an SAI Number associated with a completed profile.

An SAI Number is a software identifier. It does not represent approval, certification, background verification, religious status verification, personal endorsement, character endorsement, or eligibility for marriage.

If you place an SAI Number on a resume, message, profile, document, or other communication, you are responsible for how it is used and shared.

ShadchanAI may limit, suspend, regenerate, or revoke an SAI Number if we believe it is being misused, associated with inaccurate information, shared without authorization, or used in violation of these Terms.

Compatibility Reports are private informational and decision-support tools.

A Compatibility Report may organize information about areas such as values, goals, religious expectations, family expectations, communication style, emotional profile, conflict repair, lifestyle compatibility, practical considerations, shidduch block status, confidence level, and areas that may deserve further discussion.

Compatibility Reports are not final decisions. They are not guarantees. They do not certify that two people are compatible, safe, honest, healthy, eligible, suitable, or likely to have a successful relationship, engagement, or marriage.

You agree that:

• reports are based on submitted information;
• reports may contain limitations, uncertainty, or incomplete conclusions;
• reports require human judgment;
• reports do not replace direct conversation, references, family guidance, rabbinic guidance, professional guidance, or the real-life process of evaluating another person;
• no report should be used to shame, pressure, coerce, label, exclude, or publicly judge another person.

Some information may require review by a qualified human advisor, such as a rav, shadchan, therapist, clinician, attorney, parent, mentor, or other appropriate professional.

ShadchanAI may identify that a topic appears to require human review, but ShadchanAI does not make professional, halachic, clinical, safety, legal, or final personal determinations.

You are responsible for seeking appropriate human guidance before making decisions that involve marriage, engagement, family, halacha, mental health, safety, legal rights, or financial obligations.

ShadchanAI does not conduct criminal background checks, reference checks, identity verification, financial verification, education verification, employment verification, family verification, medical verification, or character verification unless we expressly state otherwise in writing.

Any decision to communicate with, meet, proceed with, become engaged to, marry, or otherwise rely on another person is made at your own discretion and risk.

You are responsible for using appropriate judgment, seeking references, involving trusted advisors, and taking reasonable safety precautions.

ShadchanAI may offer paid digital products or services, such as intake access, report generation, credits, subscriptions, or other software-based features.

Prices, features, availability, and payment terms may change at any time unless otherwise stated at the point of purchase.

By making a purchase, you authorize us or our third-party payment processor to charge your selected payment method for the amount disclosed at checkout, including applicable taxes and fees.

All purchases are for digital services, access, reports, credits, or software functionality. You are not purchasing a guarantee of any outcome, introduction, engagement, marriage, endorsement, recommendation, or personal result.

Unless otherwise stated at checkout or required by applicable law, payments are non-refundable once a digital service, report, credit, intake access, or account feature has been delivered, used, generated, or made available.

We may, in our sole discretion, provide a refund, credit, replacement report, or other accommodation. Any accommodation in one situation does not obligate us to provide the same accommodation in another situation.

Nothing in these Terms limits any non-waivable consumer rights that may apply under state or federal law.

If ShadchanAI offers subscriptions, memberships, recurring billing, automatic renewals, paid trials, or similar billing programs, the specific price, renewal period, billing frequency, cancellation method, and other material terms will be disclosed at or before checkout.

By enrolling in a recurring service, you authorize recurring charges to your payment method until you cancel.

You may cancel a recurring service through the cancellation method provided in your account, at checkout, or in the applicable subscription instructions. Cancellation will stop future charges but will not automatically refund prior charges unless required by law or expressly stated.

We will comply with applicable federal and state laws governing automatic renewals, subscription disclosures, affirmative consent, cancellation, and consumer protection.

If you believe a charge is incorrect, contact us first at support@shadchanai.com so we can review the issue.

You agree not to initiate a chargeback based on dissatisfaction with a report’s conclusion, compatibility result, score, shidduch block status, confidence level, or guidance, because the Services do not guarantee a specific result.

We reserve the right to suspend or terminate access to the Services, cancel credits, disable reports, or restrict future purchases if a payment is reversed, disputed, declined, charged back, suspected of fraud, or otherwise not completed.

Payments may be processed by third-party payment processors. We do not control and are not responsible for all actions, requirements, delays, declines, holds, account reviews, processor decisions, or payment method restrictions imposed by third-party processors, banks, card networks, or other financial service providers.

You agree to comply with all applicable payment processor terms and requirements.

We may refuse, cancel, refund, or decline a transaction if we believe the transaction, user, use case, description, or related activity creates legal, regulatory, payment-processing, chargeback, fraud, reputational, or compliance risk.

You agree not to use the Services to:

• violate any law, regulation, court order, or third-party right;
• submit false, misleading, deceptive, or unauthorized information;
• impersonate another person;
• create a profile for another person without proper authorization;
• harass, shame, threaten, manipulate, expose, stalk, or abuse another person;
• collect, scrape, store, or misuse another person’s personal information;
• attempt to reverse engineer, copy, interfere with, or disrupt the Services;
• bypass access controls, payment systems, security features, or usage limits;
• upload malware, harmful code, or automated scripts;
• use the Services for spam, mass solicitation, advertising, or unauthorized commercial activity;
• use the Services to create public ratings, rankings, blacklists, gossip, rumors, or defamatory claims about individuals;
• use the Services for exploitative, abusive, or unlawful purposes;
• use the Services in a way that could create harm, privacy violations, discrimination, or reputational damage.

We reserve the right to investigate, suspend, terminate, restrict, or report activity that we believe violates these Terms or creates risk.

You retain ownership of the information and content you submit, subject to the rights granted in these Terms.

By submitting information to ShadchanAI, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, analyze, format, display, transmit, and use that information as reasonably necessary to provide, maintain, secure, improve, and support the Services.

This license includes the right to generate reports, maintain account records, troubleshoot, detect misuse, comply with legal obligations, and improve system quality.

Our use of personal information is also governed by our Privacy Policy.

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, retain, and protect personal information.

By using the Services, you acknowledge that you have reviewed the Privacy Policy.

You should not submit information that you are not comfortable providing to ShadchanAI or that you do not have the right to submit.

The Services, website, software, prompts, workflows, guided intake structure, report structure, designs, text, graphics, trademarks, logos, trade names, proprietary methods, and other content owned by ShadchanAI are protected by intellectual property and other laws.

Except as expressly allowed by us in writing, you may not copy, reproduce, distribute, sell, resell, license, modify, translate, publish, create derivative works from, reverse engineer, or commercially exploit any part of the Services.

You may use reports generated for you for personal, private, family, advisory, or shidduch-related review, subject to these Terms and applicable privacy obligations.

If you provide feedback, ideas, suggestions, corrections, or recommendations about ShadchanAI, you grant us the right to use that feedback without restriction, compensation, attribution, or obligation to you.

We may modify, suspend, discontinue, restrict, or update any part of the Services at any time.

We do not guarantee that the Services will always be available, uninterrupted, secure, accurate, error-free, or compatible with every device, browser, platform, or third-party service.

We may impose usage limits, change features, remove features, update report formats, modify pricing, or restrict access where reasonably necessary.

The Services use software-assisted and AI-assisted tools. AI-assisted outputs can be incomplete, inaccurate, outdated, unclear, or affected by incomplete inputs.

You are responsible for reviewing all outputs carefully and applying human judgment.

You agree not to rely on ShadchanAI as your sole basis for any significant personal, family, religious, professional, financial, legal, emotional, engagement, marriage, or relationship decision.

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis.

ShadchanAI disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and suitability for any particular outcome.

We do not warrant that:

• the Services will meet your expectations;
• any report will be accurate, complete, or useful for your specific situation;
• any two people are compatible or incompatible;
• any shidduch, relationship, engagement, or marriage will succeed;
• any user is honest, safe, suitable, eligible, or properly described;
• any concern will be identified;
• any issue will be prevented.

Some states do not allow certain warranty disclaimers, so some of the above disclaimers may not apply to you.

To the fullest extent permitted by law, ShadchanAI and its owners, officers, directors, employees, contractors, affiliates, licensors, vendors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, emotional distress, reputational, relationship, family, communal, economic, or lost-profit damages arising out of or related to your use of the Services.

To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Services will not exceed the greater of:

• the amount you paid to ShadchanAI for the specific Service giving rise to the claim during the three months before the claim arose; or
• $100.

Some states do not allow certain limitations of liability, so some limitations may not apply to you.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless ShadchanAI and its owners, officers, directors, employees, contractors, affiliates, licensors, vendors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

• your use or misuse of the Services;
• your submitted information;
• your violation of these Terms;
• your violation of any law or third-party right;
• your interactions, decisions, communications, meetings, engagements, relationships, or disputes with another person;
• your unauthorized use or disclosure of another person’s information;
• your reliance on any report or output.

We may suspend, restrict, or terminate your access to the Services at any time if we believe:

• you violated these Terms;
• your information is false, misleading, unlawful, or unauthorized;
• your use creates safety, privacy, legal, payment, operational, reputational, or compliance risk;
• your account has been compromised;
• we are required or advised to do so by law, a payment processor, a platform provider, or a regulatory authority.

Upon termination, your right to use the Services will cease. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property provisions, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

We may update these Terms from time to time.

When we make material changes, we may provide notice by posting the updated Terms on the website, updating the effective date, emailing users, or using another reasonable method.

Your continued use of the Services after updated Terms are posted or become effective means you accept the updated Terms.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except where federal law applies or where the laws of your state of residence provide non-waivable consumer protections.

Nothing in these Terms limits any rights you may have under non-waivable consumer protection laws of your state.

Please read this section carefully. It affects your legal rights.

To the fullest extent permitted by law, you and ShadchanAI agree to first attempt to resolve any dispute informally by contacting the other party and providing a written description of the dispute.

If the dispute is not resolved informally within 30 days, either party may elect to resolve the dispute through binding individual arbitration administered by a recognized consumer arbitration provider under its applicable consumer arbitration rules, unless applicable law provides otherwise.

You and ShadchanAI agree that any arbitration will proceed only on an individual basis and not as a class, collective, consolidated, mass, private attorney general, or representative action, to the fullest extent permitted by law.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim.

This arbitration section does not prevent either party from bringing an individual claim in small claims court if the claim qualifies.

This arbitration section does not limit any non-waivable right to seek public injunctive relief where such waiver is prohibited by applicable law.

If the class action waiver is found unenforceable as to a particular claim or request for relief, that claim or request for relief may be severed and handled in court to the extent required by law.

You may opt out of this arbitration agreement by sending written notice to support@shadchanai.com within 30 days after first accepting these Terms. Your opt-out notice must include your full name, email address, and a clear statement that you opt out of arbitration.

For any claim that is not subject to arbitration and is not eligible for small claims court, the parties agree to the exclusive jurisdiction and venue of the state and federal courts located in Collin County, Texas, except where applicable law requires otherwise.

You agree that we may communicate with you electronically, including by email, account notices, website notices, SMS where authorized, or other electronic methods.

You consent to receive electronic communications related to your account, purchases, reports, legal notices, privacy notices, and updates to these Terms.

If you opt in to SMS messaging, ShadchanAI may send general conversational messages to answer questions, provide support, and communicate about user requests, account-related matters, intake-related matters, report-related matters, or service-related issues.

You can cancel the SMS service at any time by texting STOP to the phone number from which you received messages. After you send STOP, we may send you an SMS message confirming that you have been unsubscribed. After this, you will no longer receive SMS messages from us unless you opt in again.

If you are experiencing issues with the messaging program, you can reply with HELP for assistance, or contact us at support@shadchanai.com.

Message and data rates may apply. Message frequency will vary based on communication needs. Carriers are not liable for delayed or undelivered messages.

We do not sell or share SMS opt-in data or consent information with third parties for their marketing or promotional purposes.

If any part of these Terms is found invalid or unenforceable, that part will be enforced to the maximum extent permitted by law, and the remaining parts will remain in full force and effect.

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, change of control, or by operation of law.

These Terms, together with the Privacy Policy and any additional terms presented at checkout or within the Services, constitute the entire agreement between you and ShadchanAI regarding the Services.
